Terms of Service
Effective Date: 1 October 2026 | Last Updated: 8 August 2026
These Terms govern access to and use of the Orderly website, mobile application, and related digital services (collectively, the “Platform”). By using the Platform, creating an account, making a reservation, submitting an order, or completing an electronic acceptance step, you confirm that you have read, understood, and agreed to the version of these Terms in effect at the time of use.
1. Definitions
“Orderly” or the “Platform” means the digital service and its features. “User” means a person using the Platform. “Participating Venue” means a restaurant, café, or other business offering services through the Platform. “Order” may include dine-in, takeaway, or delivery depending on context. Use of the Orderly name in these Terms does not by itself identify the intellectual-property owner or Platform operator except as expressly stated in the published legal details.
2. Eligibility
You must have the legal capacity required for the relevant transaction, or use the service with the approval and supervision of a parent or legal representative where required by law. Additional eligibility requirements may apply to particular payment methods or services.
3. Accounts and Security
You must provide accurate and current information, keep login methods and verification codes secure, and not allow fraudulent use of your account. Contact support promptly if you suspect unauthorized access or unfamiliar activity.
4. Orderly’s Role
Orderly is a technology platform that facilitates venue discovery and digital steps for reservations, orders, payments, and communications. Food preparation, service fulfilment, or delivery may be performed by a participating venue or an independent provider depending on the service. Nothing in these Terms reduces mandatory consumer rights or legal responsibility assigned by law.
5. Venue Information, Menus, and Prices
Participating venues may provide menu information, prices, images, ingredients, availability, opening hours, and preparation times. Final prices, fees, and applicable taxes should be shown before confirmation. If availability changes or a material pricing error is identified before acceptance, the user should be informed of the available next step before the transaction is completed where required.
6. Allergies and Dietary Requirements
The Platform may display ingredient or allergen information supplied by a venue, but this does not mean Orderly independently verified that information unless expressly stated. Users with allergies, medical dietary requirements, or other special requirements should contact the venue directly and confirm suitability before consumption.
7. Reservations, Waitlists, and No-Shows
Reservations are subject to table availability and venue policy, including any grace period, holding time, amendment or cancellation rules, or no-show conditions. Joining a waitlist is not a confirmed reservation unless final confirmation is provided. Material reservation conditions should be displayed before confirmation where applicable.
8. Order Submission and Acceptance
Submitting an order does not always mean it has been finally accepted. An order becomes confirmed based on the status shown in the Platform and the applicable acceptance flow. If an order cannot be accepted because an item is unavailable, a branch is closed, a material pricing error exists, or for another operational reason, the user should be notified and any collected amount handled under the applicable payment and refund process and law.
9. Dine-In, Takeaway, and Delivery
Service options vary by venue. For dine-in, a tab may remain open for later additions where supported. For takeaway, users should collect the order within the displayed timing and instructions. For delivery, users must provide an accurate address and contact number and cooperate with delivery. Operational consequences for failed contact may apply only where disclosed and legally permitted.
10. Group Order
Group Order may allow a link or code to be shared with multiple participants. The group creator may have specific management controls, while each participant remains responsible for their own selections, information, and separate payments where applicable. Prices or availability may change before the group is closed or the order is confirmed, and a link or session may expire for operational or security reasons.
11. Prices, Fees, and Taxes
The final price, discounts, service or delivery fees, and applicable taxes should be shown before final confirmation. No undisclosed fee should be added at the confirmation step. If a clear technical pricing error is detected before completion, the total should be corrected and the user informed before proceeding.
12. Payments and Transaction Verification
Electronic or cash payment methods may be available depending on the service. A third-party payment provider may process card or wallet data directly. A temporary authorization or return from a payment page is not, by itself, final proof of a successful order unless the Platform confirms the payment and order status through the applicable verification process.
13. Pending, Failed, or Duplicate Payments
Payment providers may return statuses such as pending, failed, successful, or refunded. If a duplicate debit or failure after collection occurs, the transaction should be reviewed against payment records and provider data. Users should not bear a final amount that is not lawfully due, subject to transaction records and applicable law.
14. Cancellations and Refunds
Cancellation and refund eligibility depends on the service, fulfilment stage, venue policy, information shown to the user, and applicable law. The time for a refund to appear may vary by bank or payment provider. No published policy limits mandatory consumer rights.
15. Promotions, Rewards, and Loyalty Points
Coupons, discounts, Happy Hour offers, special deals, and loyalty points are subject to their published terms, including duration, stock, minimum spend, participating branches, and usage limits. A balance or discount clearly created by technical error, fraud, or misuse may be corrected without prejudice to statutory rights. Points have no cash value unless expressly stated.
16. Reviews and User Content
Users may post genuine reviews relating to actual experiences. Users retain ownership of content they create and grant Orderly a non-exclusive, limited license to host, display, reproduce, and manage that content only as reasonably necessary to operate the Platform. Unlawful, misleading, abusive, infringing, or policy-violating content may be removed or restricted.
17. Electronic Communications
Operational notifications relating to accounts, security, orders, or reservations may be sent through the app, SMS, or email using available contact details. Marketing communications should be kept separate from essential service messages, and users should be given appropriate controls over marketing where required or available.
18. Acceptable Use and Fraud Prevention
Fraud, fake accounts, manipulation of prices, rewards or promotions, misuse of links or codes, unauthorized access attempts, unlawful automated data collection, interference with the Platform, and other abusive activity are prohibited.
19. Third-Party Services
Certain features may depend on third-party payment, maps, delivery, messaging, hosting, analytics, or other services. Those services may be subject to their own terms and policies to the extent applicable, while each party remains responsible for its own legal obligations.
20. Intellectual Property
All proprietary rights relating to the Orderly Platform, including its name, brand identity, software, interfaces, designs, databases, original content, and other protected elements, remain reserved to the relevant rights holder(s). Use of the Platform does not grant ownership or a license to copy, reproduce, commercially exploit, modify, decompile, analyze, or reverse engineer protected elements except where expressly authorized in writing or required by law. Development, hosting, operation, management, marketing, or any other service arrangement does not, by itself, assign or transfer any Orderly intellectual-property right without a separate written legal instrument.
Intellectual Property Notice
Orderly | © 2026 All copyright and intellectual property rights in Orderly are reserved to the rights holder identified in Copyright Deposit Certificate for Computer Software Work No. 5047.
21. Suspension or Termination
Access may be restricted, suspended, or terminated where there are reasonable indications of fraud, misuse, material breach, security risk, or a legal requirement. Where practicable, the nature of the issue, user rights, and any pending transactions or balances should be considered before final action.
22. Service Availability and Changes
Features may be temporarily unavailable for maintenance, updates, outages, or operational reasons. The Platform may evolve or change, provided mandatory user rights are not reduced and a confirmed transaction is not materially changed retroactively except where legally permitted.
23. Force Majeure
A party is not responsible for delay or failure directly caused by circumstances reasonably outside its control, such as widespread telecommunications or infrastructure outages, natural disasters, or official measures, to the extent permitted by law and subject to reasonable mitigation where possible.
24. Liability and Consumer Rights
Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded. To the extent permitted by law, Orderly is not independently responsible for a product or service fulfilled by a party outside its direct control where the law places responsibility on that party, without limiting the user’s rights against the legally responsible party or any specific obligation of Orderly.
25. Privacy
Personal data is handled under the Privacy Policy published on the Platform, which complements these Terms in relation to data collection, use, sharing, protection, and retention.
26. Governing Law and Disputes
These Terms are governed by the laws applicable in the Arab Republic of Egypt. Users are encouraged to contact support first to resolve complaints promptly, without limiting any right to approach the Consumer Protection Agency, a competent regulator, or a competent court where applicable.
27. Language and Interpretation
Where Arabic and English versions are published, the Arabic version will be treated as the reference version in the event of an interpretive inconsistency, to the extent permitted by law, unless the Platform expressly publishes a different legal arrangement.
28. General Provisions
If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. Failure to exercise a right on one occasion is not a permanent waiver. Users may not transfer account-related rights or obligations where consent is required. Platform operation or obligations may be transferred to another legal entity as part of a lawful restructuring or project transfer, subject to user rights and data-protection requirements. These Terms and incorporated policies form the general agreement for Platform use unless specific service terms apply.
29. Changes to These Terms
These Terms may be updated when services, legal requirements, or operations change. The effective date will be published, and renewed acceptance may be requested where appropriate or legally required. A material change will not be applied retroactively to a completed transaction unless permitted by law.
30. Contact
For questions about accounts, orders, reservations, or these Terms, contact support@orderly-eg.com. Before publication, add the legal name and official address of the Platform operator.
